Terms of Service

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for business and professional use by e-commerce operators, marketers, and entrepreneurs. It is not intended for personal, family, or household purposes.

2. Description of Service

ProfitVerdict is a financial modeling and decision-support tool that helps e-commerce operators estimate product profitability, simulate advertising scenarios, and analyse ad creative performance. The Service uses deterministic financial calculations, AI-generated analysis, and aggregated benchmark data to produce outputs including break-even metrics, scenario projections, confidence scores, and go/no-go recommendations. All outputs are estimates based on the inputs you provide and the assumptions embedded in our models.

3. Not Financial or Investment Advice

All content, calculations, projections, recommendations, confidence scores, and AI-generated analysis provided through the Service are for informational and educational purposes only. They are based on the inputs you provide and general market assumptions, and they do not account for your specific financial situation, risk tolerance, business circumstances, or regulatory environment.

Past performance of advertising campaigns, products, or markets is not indicative of future results. Projected profitability figures are estimates only and may differ materially from actual outcomes due to factors including but not limited to: changes in advertising platform algorithms, market competition, consumer behaviour, supply chain costs, currency fluctuations, and platform policy changes.

You should not make any business, financial, or advertising spending decision based solely on the outputs of the Service. You are solely responsible for evaluating the appropriateness of any decision you make based on information obtained through the Service. We strongly recommend consulting qualified financial, legal, and business professionals before making significant financial commitments.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account.

4.1 Permitted Uses

You may use the Service to model product profitability, simulate advertising scenarios, analyse ad creative, and make informed business decisions for your own e-commerce operations or for clients you represent in a professional capacity.

4.2 Prohibited Uses

You must not:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Service, its servers, or any connected systems
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service
• Scrape, crawl, or systematically extract data from the Service using automated tools without our express written permission
• Resell, sublicense, or redistribute the Service or its outputs as a standalone product without a separate written agreement
• Submit false, misleading, or fraudulent inputs to manipulate benchmark data or AI outputs
• Use the Service to engage in market manipulation, deceptive advertising practices, or consumer fraud
• Transmit any malware, viruses, or other harmful code through the Service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service in any manner that could damage, disable, overburden, or impair its operation

We reserve the right to suspend or terminate your access to the Service immediately and without notice if we determine, in our sole discretion, that you have violated these acceptable use provisions.

5. User Accounts

To access certain features of the Service, you must create an account via Manus OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorised use of your account.

We reserve the right to terminate or suspend accounts that violate these Terms, are inactive for an extended period, or are associated with fraudulent activity.

6. Subscriptions and Payments

Certain features of the Service require a paid subscription (Pro or Agency plan). Subscriptions are billed monthly and processed via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date. We do not provide refunds for partial billing periods except where required by applicable law.

We reserve the right to change subscription prices with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

7. Limitation of Liability

Disclaimer of Warranties. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any financial projections, benchmarks, or AI-generated outputs will be accurate, complete, or suitable for your purposes.

Exclusion of Consequential Damages. To the maximum extent permitted by applicable law, in no event shall ProfitVerdict, its officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or the cost of substitute services, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Advertising Spend Losses. We expressly disclaim any liability for losses arising from advertising campaigns, product launches, or business decisions made in reliance on outputs generated by the Service. The Service provides estimates and models only; actual advertising performance and profitability will vary and may differ materially from projections.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless ProfitVerdict and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; or (d) any business decisions you make based on outputs from the Service.

9. Intellectual Property

The Service, including its software, design, text, graphics, algorithms, and AI models, is owned byProfitVerdict and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of the data you input into the Service. By submitting data, you grant us a limited, non-exclusive licence to process that data to provide the Service and, in anonymised aggregate form, to improve our benchmark models as described in our Privacy Policy.

10. Third-Party Services and Links

The Service integrates with third-party services including Stripe (payments), Manus OAuth (authentication), and AI providers (analysis). Your use of those services is governed by their respective terms of service and privacy policies. We are not responsible for the practices or content of any third-party service. Any links to third-party websites are provided for convenience only and do not constitute our endorsement of those sites.

11. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify users. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

13. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProfitVerdict with respect to the Service and supersede all prior agreements, representations, and understandings.
